ONLINE STORE TERMS AND CONDITIONS
The conclusion of an agreement between the Buyer and the Seller may take place in two ways.
The Buyer has the right, prior to placing an order, to negotiate all provisions of the agreement with the Seller, including those modifying the provisions of these Terms and Conditions. Such negotiations should be conducted in writing and addressed to the Seller at the following address: MADLAC sp. z o.o., ul. Kielnarowa 32S, 36-020 Kielnarowa, Poland.
If the Buyer resigns from the possibility of concluding an agreement through individual negotiations, the following Terms and Conditions and applicable legal provisions shall apply.
TERMS AND CONDITIONS
§1 Definitions
- Postal Address – first and last name or institution name, location within a town (street, building number, apartment or unit number; or town name and property number), postal code and town.

Poland - Delivery Price List – a list of available delivery methods and their costs.

- Delivery – transport service including carrier and cost specified in the delivery price list.
- Proof of Purchase – invoice, receipt or fiscal receipt issued in accordance with the VAT Act of 11 March 2004 and other applicable laws.
- Product Page – a single store subpage containing information about a specific product.
- Client – an adult natural person with full legal capacity, a legal person or an organizational unit without legal personality but with legal capacity, making a purchase directly related to business or professional activity.
- Civil Code – the Act of 23 April 1964, as amended.
- Code of Good Practice – a set of ethical and professional conduct principles referred to in Article 2(5) of the Act on Counteracting Unfair Market Practices.
- Consumer – an adult natural person with full legal capacity making a purchase not directly related to business or professional activity.
- Cart – a list of products selected by the Buyer from the Store offer.
- Buyer – both the Consumer and the Client.
- Place of Delivery – postal address or pickup point indicated by the Buyer in the order.
- Moment of Delivery – the moment the Buyer or a third party designated by the Buyer takes possession of the item.
- Payment – payment method for the subject of the agreement and delivery.
- Consumer Rights Act – Act of 30 May 2014.
- Product – the minimum and indivisible quantity of goods that may be ordered.
- Subject of the Agreement – products and delivery covered by the agreement.
- Pickup Point – a non-postal delivery location provided by the Seller.
- Goods – movable items that may be the subject of the agreement.
- Store – online service available at www.madlac.com.
- Seller – MADLAC sp. z o.o., Kielnarowa 32S, 36-020 Kielnarowa, Poland, KRS: 0001173884, NIP: 8133933858, REGON: 541770510.
- Bank Account (EUR) – PL85105014451000009086317733.
- System – IT devices and software enabling data processing via the Internet.
- Processing Time – number of hours or business days stated on the product page.
- Agreement – a distance or off-premises agreement within the meaning of the Consumer Rights Act, or a sales agreement under the Civil Code.
- Defect – physical or legal defect.
§2 General Conditions
- The agreement is concluded in Polish, in accordance with Polish law.
- The place of delivery must be located in Poland. Shipping is carried out within Europe.
- The Seller undertakes to deliver goods free from defects.
- All prices are given in PLN and include VAT. Delivery costs are not included.
- Time limits are calculated in accordance with Article 111 of the Civil Code.
- All essential terms of the agreement are confirmed via email to the address provided by the Buyer.
- The Seller does not charge fees for distance communication.
- The Buyer may create an account and manage personal data at any time.
- The Seller complies with the Code of Good Practice.
§3 Conclusion of the Agreement and Order Fulfillment
- Orders may be placed 24/7.
- The Buyer places an order by adding products to the cart, choosing delivery and payment, and clicking “Order with obligation to pay”.
- The agreement with a Consumer is concluded upon order submission.
- The agreement with a Client is concluded upon Seller’s acceptance.
- Orders are shipped within up to 5 business days.
- The maximum order value via the Store is PLN 2000.
§4 Right of Withdrawal
- The Consumer has the right to withdraw from the agreement within 14 days without giving a reason.
- The withdrawal period starts from the date of delivery.
- The Consumer bears the cost of returning goods.
- The Seller refunds all payments within 14 days.
- Exceptions to the right of withdrawal apply as provided by law.
§5 Warranty (Statutory Liability)
- The Seller excludes statutory warranty liability towards Clients.
- The Seller is liable towards Consumers under the Civil Code.
- The Consumer may request repair, replacement, price reduction or withdraw from the agreement.
- The Seller shall respond to complaints within 14 days.
§6 Privacy Policy and Personal Data Protection
- The Seller is the data controller.
- Personal data is processed in accordance with GDPR and Polish law.
- Details are described in the Privacy Policy available at www.madlac.com.
§7 Final Provisions
- No provision limits Buyer’s statutory rights.
- Buyers will be informed of changes at least 30 days in advance.
- The applicable law is Polish law.
- Disputes may be resolved through mediation, arbitration or competent courts.
